Business Terms

These Business Terms (“Business Terms”) govern the use of ConfirmPH by rental businesses, business owners, authorized staff, managers, contractors, and other persons using ConfirmPH on behalf of a business. By creating or using a ConfirmPH business account, accepting these Business Terms, purchasing or using a business plan or add-on, or using business-facing ConfirmPH features, you agree to these Business Terms for yourself and, where applicable, on behalf of the business you represent. If you use ConfirmPH on behalf of a business, you represent that you have authority to accept these Business Terms and use ConfirmPH on behalf of that business.
Related policies
These Business Terms apply together with the ConfirmPH Terms of Service, Privacy Policy, Cookie Policy, Acceptable Use Policy, Reviews Policy, Refund & Billing Policy, Trust & Safety Policy, Data Deletion Policy, and any additional terms expressly presented for a particular service, integration, feature, plan, or add-on.
If these Business Terms conflict with the general Terms of Service concerning business use of ConfirmPH, these Business Terms control to the extent of that conflict unless expressly stated otherwise.
1. Definitions
For these Business Terms:
“Business” means the rental business associated with a ConfirmPH business account.
“Business User” means an owner, manager, employee, contractor, agent, or other person authorized to access or use ConfirmPH for a Business.
“Customer” means a renter, prospective renter, or other customer interacting with a Business.
“Booking Record” means rental information recorded in ConfirmPH.
“Customer Confirmation” means a Customer's affirmative confirmation of booking information presented to that Customer through the applicable ConfirmPH confirmation process.
“Business Content” means information, listings, photographs, documents, policies, records, messages, branding, and other material submitted, uploaded, imported, published, or provided by or for a Business.
“Subscription” means a paid ConfirmPH business plan, recurring service, or paid add-on.
“Services” means the ConfirmPH software, website, applications, business tools, public-facing features, integrations, APIs where available, and related services made available by ConfirmPH.
2. What ConfirmPH provides
ConfirmPH provides software and platform tools designed to help rental businesses manage rental operations and customer-facing workflows.
Depending on the Business's plan, configuration, and available features, ConfirmPH may provide tools relating to:
- inquiries and booking requests
- booking records, booking-specific agreement versions, customer confirmation and reconfirmation
- customer records and booking history
- vehicle and fleet management
- business and fleet Legal Readiness: requirement guidance, evidence records, expiry tracking and ConfirmPH review states
- company-supplied driver service: driver profiles, qualifications, availability, assignment and dispatch readiness
- self-drive authorized drivers and booking-specific driver eligibility
- handover and release readiness, return and return inspection
- damage, incidents, and maintenance
- damage cases, customer charge proposals, insurance claims, disputes and rental closure
- rental payments, advances (downpayments), security deposits, refunds and deposit applications as records
- Finance & Books: internal, accountant-ready accounting records
- reminders and operational warnings
- staff accounts and permissions
- public business profiles and rental listings
- reviews
- website and booking-integration tools
- booking intake and imports
- reports and exports
- support
subscriptions and account management; and
other rental-business functions.
ConfirmPH provides software and recordkeeping tools. ConfirmPH does not operate your rental business for you.
3. Your authority to act for the Business
You may only create, manage, or use a Business account if you are authorized to do so. You must not:
- create a Business account for an organization you do not represent
- impersonate a business owner or authorized representative
claim ownership or management authority you do not have; or
knowingly provide false information concerning your relationship with a Business.
ConfirmPH may request information reasonably necessary to confirm the identity or authority of a Business or Business User.
4. Licence to use ConfirmPH
Subject to these Business Terms, applicable plan limits, and payment of applicable fees, ConfirmPH grants the Business a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services for the Business's legitimate internal rental operations and authorized customer-facing activities.
The Business may permit authorized Business Users to use the Services within applicable account, role, staff, and plan limits.
Except where applicable law expressly permits otherwise, you must not:
- resell or sublicense ConfirmPH
- provide unauthorized third-party access
- copy or reproduce substantial parts of the Services
- reverse engineer or attempt to derive source code
- bypass security, rate limits, permissions, or technical protections
- scrape or systematically extract platform data without authorization
interfere with the operation or security of ConfirmPH; or
use ConfirmPH to build or operate a competing unauthorized copy of the Service.
No ownership rights in ConfirmPH are transferred to the Business.
5. Your rental business remains your responsibility
Your Business remains solely responsible for operating its rental activities. This includes responsibility for:
- lawful ownership or authority to rent vehicles or rental items
- choosing service modes (self-drive, with-driver, or both) that the Business may lawfully offer for each vehicle
- vehicle condition and roadworthiness
- availability
- pricing and fees
- advances, security deposits and refunds
- customer eligibility
- qualifying, authorizing and assigning the drivers it supplies
- deciding which renter drivers it accepts for a self-drive booking, and its own driver policy
- driver's licence and identification requirements
- the insurance it holds and any driver or use restrictions its insurer imposes
- rental agreements
- the decision to release a vehicle, pickup and return
- insurance
- registrations and permits
- taxes, tax and accounting configuration, and issuing its own official invoices and receipts
- staff
- customer service
- damage decisions, and any position it takes on fault, responsibility or liability
- penalties and charges
legal and regulatory compliance; and
day-to-day business decisions.
ConfirmPH does not become the owner, operator, lessor, insurer, employer, agent, transport operator or rental provider merely because a Business uses the Services.
Rental agreements remain between the Business and its Customer unless ConfirmPH expressly agrees otherwise in a separate written agreement.
6. Business identity and merchant information
You must provide accurate and reasonably current information necessary to identify and operate your Business account. Depending on applicable law and the Services used, this may include:
- business or trading name
- legal or registered name
- contact information
- business address or service area
- registration information
- tax information
authorized representative information; or
other merchant-identification information reasonably required by ConfirmPH.
You authorize ConfirmPH to display or disclose information where necessary to provide the Services, comply with applicable law, operate public-facing Business features, respond to lawful requests, prevent fraud or abuse, or satisfy applicable platform obligations.
You must promptly update information that becomes materially inaccurate.
Merchant identity is handled as evidence, not as a claim. What the Business enters is shown as self-reported; a document it uploads is shown as evidence uploaded; and only what ConfirmPH has actually reviewed is shown as ConfirmPH reviewed. The same review states feed the Business's Legal Readiness status.
Digital platforms that fall within the Internet Transactions Act have merchant-identification, information and redress obligations. ConfirmPH's merchant records exist so those obligations can be met. The Business agrees to provide the identification information those obligations require, and to keep it current.
7. Accuracy of Business Content
You are responsible for Business Content you submit, upload, publish, import, or communicate through ConfirmPH. This may include:
- business information
- vehicle information
- photographs
- prices
- deposits
- fees
- cancellation or refund policies
- rental rules
- booking information
- customer-facing notes
- availability
- documents
- inspection records
- damage records
- maintenance records
- incident records
- staff information
public-profile content; and
review replies.
You must not knowingly provide information that is false, misleading, forged, fraudulent, unlawful, defamatory, abusive, infringing, privacy-invasive, or otherwise prohibited by ConfirmPH policies.
ConfirmPH may restrict, hide, reject, moderate, or remove Business Content where reasonably necessary to enforce these Business Terms, protect users or the platform, comply with law, or address abuse or safety concerns.
8. Legal and regulatory compliance
The Business is responsible for complying with laws and regulations applicable to its operations. Depending on the Business, this may include requirements concerning:
- business registration
- permits
- taxation
- vehicle registration
- OR/CR
- insurance
- emission requirements
- transport or franchise requirements
- consumer protection
- customer eligibility
- driver's licences
- vehicle safety and roadworthiness
- employee and labor obligations
- privacy and personal data
- accounting
recordkeeping; and
local-government requirements.
ConfirmPH's Legal Readiness system provides requirement guidance, evidence management, expiry tracking and ConfirmPH's own platform review of the evidence the Business provides. It is not government approval, not a permit or registration, not legal advice, and not a guarantee of compliance. A requirement shown as not yet reviewed is not a finding that the Business is non-compliant.
Where ConfirmPH has confirmed a critical legal issue (for example, a verified expired registration or insurance policy), ConfirmPH may prevent the affected vehicle or service from being released through the platform until it is resolved. Missing or unreviewed information does not by itself block a release.
ConfirmPH may also provide records, reminders, warnings, or organizational tools. Those tools are not legal advice, government approval, regulatory certification, or a guarantee of compliance.
9. Inquiries, Booking Records, and Customer Confirmations
An inquiry is not a confirmed booking.
A booking request means booking information has been submitted for review or processing. It does not necessarily mean the Business has accepted the rental.
A Booking Record means rental information has been recorded in ConfirmPH.
A Customer Confirmation records the Customer's electronic confirmation and acceptance of a specific Booking Agreement Version presented through ConfirmPH at that time. It is not a qualified electronic signature. Depending on the booking, the accepted version may include:
- customer
- vehicle or rental item
- service mode (self-drive, or with a driver supplied by the Business)
- authorized drivers, for a self-drive booking
- pickup and return dates
- pickup and return times
- locations
- rental price and its price items, including any driver-service charge or additional-driver fee
- any advance or downpayment
- any refundable security deposit
- outstanding balance
- the Business's booking terms, including cancellation, fuel and mileage terms
booking reference; and
relevant booking information.
Electronic records and confirmations may have legal significance under applicable Philippine law, but ConfirmPH does not represent that every Booking Record or Customer Confirmation, by itself, satisfies every requirement necessary to create a complete or enforceable rental agreement.
The Business remains responsible for determining:
- whether it accepts the booking
- whether the vehicle remains available
- whether the Customer and each driver are eligible
- whether payments, advances or security deposits have been received
whether the vehicle can lawfully and safely be released; and
whether additional rental documents or agreements are required.
10. Booking changes and reconfirmation
Booking information may change after Customer Confirmation. ConfirmPH decides in one place whether a change is material, using the same rules for every Business.
Material changes need the Customer's fresh acceptance of a new Booking Agreement Version. They include the rental price or any price item, a driver-service charge or additional-driver fee, a change between self-drive and with-driver service, a material change of dates or vehicle, the security deposit amount, an advance or downpayment requirement, cancellation, fuel or mileage terms, and any other material charge or term.
Operational changes that do not alter what the Customer agreed to (such as reassigning which company driver fulfils a with-driver trip at the same service and price, internal staff assignment or internal notes) are recorded in the booking history without reconfirmation.
Every accepted version is preserved. A new version never overwrites an earlier accepted one.
The Business must not treat a change as Customer-approved merely because the Business entered it into ConfirmPH. Until the Customer accepts a material change, the vehicle is not released on the unaccepted terms.
The Business remains responsible for communicating material rental changes appropriately.
11. Operational tools, warnings, and conflicts
ConfirmPH may provide operational tools or warnings concerning matters such as:
- overlapping bookings
- vehicle availability
- tight scheduling buffers
- readiness
- inspections
- maintenance
- damage
- incidents
- document expiry
- affected future bookings
- deposits or balances
incomplete records; or
other issues detected using available platform data.
These tools depend on the accuracy, completeness, and timing of information available to ConfirmPH. Warnings may be incomplete, delayed, unavailable, affected by incorrect data, or unable to identify every operational risk. The absence of a warning does not mean no problem exists.
The Business remains responsible for final operational decisions.
Release readiness. Before a vehicle is handed over, ConfirmPH brings the separate checks together in one release-readiness view. A rental may be blocked from release through ConfirmPH because of the Customer's acceptance of the current terms, a payment or security-deposit requirement the Business itself has set, a confirmed business legal-readiness issue, a confirmed vehicle legal-readiness issue, an Enhanced Vehicle Safety hold, company-driver dispatch readiness or self-drive driver eligibility, or an incomplete pickup inspection. Each is shown separately, with its reason.
No ordinary override releases a vehicle past a confirmed legal, safety or driver block. Out of the box, no payment or deposit rule blocks a release: that only happens if the Business chooses such a rule.
12. Fleet, vehicle, inspection, and incident records
ConfirmPH may allow the Business to record and manage information concerning:
- vehicles
- availability
- mileage
- condition
- pickup and return, including separate pickup and return condition records
- inspections
- readiness
- damage and damage cases
- accidents
- incidents
- insurance claims
- maintenance
- breakdowns
documents; and
related operational history.
These are records created from information provided by or for the Business. Unless expressly stated otherwise, they are not independent inspections, certifications, mechanical opinions, legal determinations, or guarantees by ConfirmPH.
A damage, incident or claim record does not decide who is at fault, who is responsible, or what anyone owes. A returned vehicle stays in Needs Inspection until the return inspection clears it.
The Business remains responsible for deciding whether a vehicle is:
- safe
- lawful
- properly maintained
- appropriately insured
- documented
roadworthy; and
suitable for release to a Customer.
13. Affected bookings and replacement vehicles
ConfirmPH may help identify bookings that could be affected by a vehicle problem or operational change. The Business remains responsible for deciding:
- whether the Customer should be contacted
- whether the booking should be modified
- whether a replacement vehicle is appropriate
- whether the replacement is available and legally usable
- whether pricing or other terms change
whether Customer reconfirmation is required; and
whether the booking should be cancelled.
ConfirmPH does not guarantee that a suitable replacement vehicle will be available.
The Business must not use ConfirmPH to misrepresent a replacement, hide a material change, or falsely suggest that a Customer accepted changes they did not approve.
14. Staff accounts, permissions, and monitoring
The Business is responsible for controlling Business User access. You should give Business Users only the permissions reasonably necessary for their roles. You must promptly remove or modify access when a person:
- leaves the Business
- changes role
no longer requires access; or
should no longer be authorized.
The Business is responsible for activity performed by authorized Business Users through the Business account.
ConfirmPH may provide activity records concerning matters such as booking actions, vehicle actions, assignments, timestamps, checklist completion, staff availability, clock-in or clock-out information, or other operational activity.
Where workplace monitoring, timekeeping, or staff activity features are used, the Business is responsible for providing any required employee notices, establishing an appropriate lawful basis, and complying with applicable privacy, labor, and employment requirements.
ConfirmPH does not become the employer of Business Users by providing these features.
Permissions are deliberately separated. Handing a vehicle over or recording a return does not by itself allow a person to establish a customer charge, apply a security deposit, record a refund, close a rental financially, see Finance & Books, or review compliance evidence; each is a separate permission.
A driver who signs in sees only the restricted driver workspace for their own assigned trips. A driver does not gain access to the Business's accounting records or to other drivers' compensation.
15. Customer and staff personal data
The Business must comply with applicable privacy and data-protection law regarding personal information it enters, uploads, accesses, imports, or otherwise processes through ConfirmPH. The Business is responsible for:
- having an appropriate lawful basis for personal information it provides to ConfirmPH
- providing notices required to Customers or staff
- limiting access to authorized persons
using personal data only for lawful and appropriate purposes; and
not importing or disclosing personal information unlawfully.
Depending on the processing activity, the Business and ConfirmPH may have different responsibilities as personal information controllers or processors. Philippine privacy rules distinguish these roles based principally on who controls the purposes and extent of processing, and outsourced processing may require appropriate contractual protections.
ConfirmPH's processing of personal data is further described in the Privacy Policy and, where applicable, a separate Data Processing Addendum or other data-processing terms.
This includes driver-related documents: the licence records and qualifications of drivers the Business supplies, and the licence details, licence images and, where applicable, International Driving Permit or translation evidence of renter drivers. These are sensitive. The Business should collect them only where genuinely needed for the rental, insurance or driver-authorization process, and should limit who may open them.
16. Business Content and intellectual property
Your Business Content. The Business retains ownership of Business Content that it lawfully owns. The Business grants ConfirmPH a non-exclusive licence to host, store, reproduce, process, transmit, modify as technically necessary, and display Business Content only as reasonably necessary to provide the Services, operate customer-facing features selected by the Business, secure the platform, provide support, prevent fraud and abuse, comply with law, and maintain and improve the Services in accordance with applicable privacy obligations.
You represent that you have the rights and permissions necessary to provide Business Content to ConfirmPH.
ConfirmPH ownership. ConfirmPH and its software, user interface, design, branding, documentation, databases, platform technology, and related intellectual property are owned by ConfirmPH or its licensors. Except for the limited licence expressly granted under these Business Terms, no rights or ownership in ConfirmPH are transferred to the Business.
17. Confidential information
Each party may receive non-public information concerning the other party that reasonably should be understood as confidential. Confidential information may include:
- non-public business information
- customer information
- pricing information not publicly available
- security information
- account information
- unpublished product information
technical information; and
other information identified or reasonably understood as confidential.
Each party must use reasonable care to protect confidential information and may use it only for legitimate purposes connected with the Services, except where disclosure is authorized, required by law, required by a competent authority, or reasonably necessary to professional advisers who are subject to confidentiality obligations.
This section does not apply to information that is lawfully public, independently developed, or lawfully received without a confidentiality obligation.
18. Public profiles, reviews, and platform signals
ConfirmPH may allow the Business to maintain public-facing content, including a Business profile, rental listings, vehicle information, booking availability indicators, reviews, Business replies, website or hosted pages, and other public information.
The Business is responsible for the accuracy and legality of public Business Content.
ConfirmPH may display informational signals such as profile completeness, active account status, booking-related functionality, booking-linked reviews, activity indicators, operational information, or narrow public-safe readiness signals (for example, that registration or insurance evidence has been reviewed by ConfirmPH). Raw documents, registration numbers and policy numbers are never published. Unless expressly stated otherwise, these are informational indicators, not guarantees, certifications, endorsements, or government verifications.
Organic ordering in Discover may give a bounded, limited weight to readiness evidence ConfirmPH has actually reviewed. It never ranks on self-reported claims alone.
ConfirmPH does not guarantee any particular listing position, search ranking, number of impressions, inquiries, bookings, review score, conversion rate, or revenue.
Sponsored or paid visibility, where offered, is separate from organic ranking and is subject to the terms shown for that feature. Paying for placement or for a plan never improves a verification, legal-readiness or safety status, and never lifts a safety hold.
19. Reviews
Businesses may receive and respond to reviews in accordance with the Reviews Policy. The Business must not:
- create fake reviews
- offer prohibited incentives for misleading reviews
- manipulate review systems
- pressure Customers to submit false ratings
- retaliate against Customers for lawful reviews
publish private Customer information in a reply; or
coordinate deceptive review activity.
A booking-linked or similar indicator means the review was submitted through an eligible ConfirmPH review process. It does not mean ConfirmPH independently verified every factual statement made in the review.
20. Imports, integrations, webhooks, and connected websites
ConfirmPH may provide tools that allow the Business to import information, convert notes or inquiries into booking records, receive data from connected systems, use hosted booking pages, embed or link website tools, send or receive webhooks, connect external services, or use APIs or integrations where available.
The Business is responsible for having the lawful right to import, transmit, or connect information. You must not unlawfully obtain, scrape, copy, or import private communications or personal information from third-party services.
Where credentials, signing secrets, tokens, or integration keys are provided, the Business must protect them against unauthorized use.
Webhook and integration events may be delayed, duplicated, retried, rejected, unavailable, delivered out of order, or affected by third-party failures. The Business should not rely on an integration as the sole control for a safety-critical or legally required process.
ConfirmPH may change, limit, suspend, or discontinue an integration where reasonably necessary for security, reliability, legal compliance, or compatibility.
21. Third-party services
ConfirmPH may rely on or interact with third-party services, which may include hosting providers, email providers, messaging providers, payment providers, analytics services, map or location services, browser or operating-system services, and connected external platforms.
Those third parties may have separate terms, policies, fees, limitations, and service availability.
ConfirmPH is not responsible for the independent acts or omissions of third parties that it does not control, except to the extent responsibility cannot lawfully be excluded.
21A. Finance & Books and invoices
Finance & Books provides Internal Accounting Records and Accountant-Ready Records by default: journals, ledgers, reports and transaction history kept for the Business.
It is not “BIR Registered Books”, “BIR Certified” or similar unless the Business, as taxpayer, has actually completed the process the BIR requires for its computerized books or accounting system (for example, obtaining an Acknowledgement Certificate where one is required). The Business must not describe it that way until then.
Posted accounting records are corrected by reversal or adjustment, never by deletion or silent editing.
An internal booking statement, rental transaction summary or final account summary is not automatically the Business's official BIR invoice or official receipt. The Business remains responsible for issuing its own official invoices through its properly registered process.
22. Subscriptions, plans, trials, and billing
Features, usage limits, fleet capacity, staff limits, integrations, visibility tools, and other entitlements may depend on the Business's selected plan or add-ons. Current entitlements are determined by the information shown when subscribing, in applicable pricing information, or in the Business account. Do not rely on an older description of a plan after its published entitlements have changed.
Paid subscriptions. Paid plans and add-ons are billed at the price and billing frequency shown at purchase. Where recurring billing is enabled, you authorize ConfirmPH and the applicable payment provider to charge the selected payment method for recurring fees until the Subscription is cancelled.
Trials. Where a trial is offered, its duration and limitations will be shown when the trial begins. ConfirmPH may prevent repeated or abusive trial use.
Cancellation. Cancellation stops future renewals according to the cancellation terms presented at purchase or in the Refund & Billing Policy. Unless required by law or expressly stated otherwise, cancelling a Subscription does not automatically create a refund for fees already paid.
Price changes. ConfirmPH may change Subscription prices prospectively. Where an existing recurring paid Subscription is affected, ConfirmPH will provide notice appropriate to the circumstances and applicable law before the new price applies.
Non-payment. If fees remain unpaid, ConfirmPH may:
- retry payment
- notify the Business
- limit paid functionality
- suspend paid features
downgrade the account where appropriate; or
suspend or terminate the Subscription.
ConfirmPH should not intentionally destroy Business data solely because a payment attempt initially fails.
23. Taxes
Unless expressly stated otherwise, fees may be exclusive of applicable taxes. The Business is responsible for taxes, duties, levies, or similar governmental charges applicable to its purchase or use of ConfirmPH, except taxes imposed directly on ConfirmPH's own income.
Where required by law, ConfirmPH may charge or collect VAT or other applicable taxes and issue appropriate billing documentation.
The Business remains responsible for its own rental-business tax obligations.
24. Account and security responsibilities
The Business is responsible for taking reasonable steps to protect passwords, authentication codes, staff accounts, devices, email accounts, private booking links, API credentials, webhook secrets, and other access credentials.
Do not knowingly share credentials with unauthorized persons.
Notify ConfirmPH promptly if you suspect unauthorized account access, compromised credentials, unauthorized staff activity, exposed integration secrets, compromised customer information, or another security incident involving the Services.
ConfirmPH may temporarily restrict access where reasonably necessary to protect an account, Customer, Business, or the platform.
25. Acceptable use and prohibited conduct
You must not use ConfirmPH to commit fraud, operate a scam, create fake bookings, impersonate another Business or person, upload forged documents, submit fake payment records, manipulate reviews, harass or threaten users, misuse personal data, send unlawful spam, publish unlawful or infringing content, bypass platform security, exploit technical vulnerabilities, interfere with availability of the Services, distribute malware, scrape data without authorization, circumvent plan restrictions, gain unauthorized access to another Business's information, or engage in unlawful activity.
Additional restrictions may appear in the Acceptable Use Policy, Reviews Policy, and Trust & Safety Policy.
26. Service availability, changes, and support
ConfirmPH may modify, improve, add, restrict, suspend, or discontinue Services or individual features. Service availability may be affected by maintenance, software errors, infrastructure failures, internet outages, telecommunications problems, third-party providers, security incidents, device limitations, browser limitations, emergencies, severe weather, or circumstances outside ConfirmPH's reasonable control. ConfirmPH does not promise uninterrupted or error-free operation.
Support may be provided through the channels made available by ConfirmPH. Unless a specific written service-level agreement states otherwise, response or resolution times are not guaranteed.
ConfirmPH is not an emergency-response service.
27. Suspension and termination
ConfirmPH may restrict, suspend, or terminate access where reasonably necessary because of:
- serious or repeated breach of these Business Terms
- fraud or suspected fraud
- security risk
- unlawful activity
- misuse of Customer data
- non-payment
- abuse of another user
- platform manipulation
- substantial risk to Customers or other Businesses
legal or regulatory requirements; or
other serious misuse of the Services.
Where practical and appropriate, ConfirmPH may provide notice or an opportunity to correct a breach before termination. Immediate restriction may be appropriate where necessary to address fraud, security, legal, privacy, or safety risks.
The Business may stop using ConfirmPH and cancel applicable Subscriptions subject to the relevant billing terms. Termination does not erase obligations or liabilities that arose before termination.
28. Business data after termination
Subject to applicable law, security requirements, retention obligations, and the functionality made available by ConfirmPH, the Business may be allowed to export certain Business data before or following termination. ConfirmPH is not required to retain an inactive account indefinitely.
Certain information may continue to be retained where reasonably necessary or legally permitted for matters such as legal compliance, billing or tax records, fraud prevention, security, abuse prevention, disputes, audit records, backups, booking integrity, or enforcement of legal rights.
Deletion and retention are further described in the Privacy Policy and Data Deletion Policy. The Business should maintain its own records where law or its operations require independent retention.
29. Warranty disclaimer and no guaranteed business results
ConfirmPH is provided as a software and information service. To the maximum extent permitted by applicable law, ConfirmPH does not guarantee that:
- the Services will always be uninterrupted or error-free
- every warning will identify every problem
- every Customer will perform a booking
- every payment will succeed
- vehicles will remain available
- a Customer will be eligible
- a Business will receive a particular ranking
- a listing will receive a particular amount of traffic
- reviews will be positive
use of ConfirmPH will increase bookings or revenue; or
the Business will achieve any particular commercial result.
ConfirmPH does not provide legal, accounting, insurance, mechanical, employment, or regulatory advice merely by providing platform tools.
Nothing in these Business Terms excludes warranties, rights, or remedies that cannot legally be excluded.
30. Limitation of liability
To the maximum extent permitted by applicable law, ConfirmPH will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from use of the Services, including loss of profit, revenue, business opportunity, goodwill, or data, where such exclusion is legally permitted.
To the maximum extent permitted by applicable law, ConfirmPH's total aggregate liability arising from or relating to the Services or these Business Terms will not exceed the greater of the fees paid by the Business to ConfirmPH during the 12 months immediately preceding the event giving rise to the claim, or any minimum amount of liability that applicable law does not permit ConfirmPH to exclude.
This limitation does not apply where liability cannot legally be limited or excluded. Nothing in these Business Terms excludes liability for fraud, wilful misconduct, or any other liability that applicable law does not permit to be excluded or limited.
31. Business indemnity
To the extent permitted by applicable law, the Business agrees to defend, indemnify, and hold harmless ConfirmPH and its applicable officers, employees, and service providers from third-party claims, losses, liabilities, damages, and reasonable costs arising from:
- the Business's unlawful operation of its rental business
- Business Content
- violation of applicable law
- infringement of another person's rights
- misuse of personal information
- unauthorized staff activity that the Business was responsible for controlling
- false or misleading listings
rental disputes caused by the Business's acts or omissions; or
material breach of these Business Terms.
This obligation does not apply to the extent a claim was caused by ConfirmPH's own unlawful conduct, negligence where liability cannot lawfully be excluded, or breach of its obligations.
32. Force majeure
Neither party will be responsible for failure or delay caused by circumstances beyond its reasonable control where performance is prevented or materially disrupted. Examples may include natural disasters, severe weather, fire, flood, war, civil unrest, government action, major internet or telecommunications failure, widespread cloud-service failure, utility outage, epidemic or public-health emergency, labor disruption outside the affected party's reasonable control, or other comparable events.
This section does not excuse payment obligations already due. The affected party should take reasonable steps to reduce the impact and resume performance when reasonably possible.
33. Changes to the Services and these Business Terms
ConfirmPH may update the Services and these Business Terms as the platform, applicable laws, business model, security requirements, or related policies change.
The Last updated date will identify the latest revision.
Where a change materially affects existing Business Users and applicable law or contractual fairness requires notice, ConfirmPH will provide appropriate advance notice. Where additional consent is legally required, ConfirmPH will request it.
Continued use of the Services after updated Business Terms take effect may constitute acceptance where legally permitted.
34. Language
ConfirmPH may provide translations of these Business Terms. Unless ConfirmPH expressly states otherwise, the English version controls if there is a conflict or inconsistency between translations, subject to any mandatory rights under applicable law.
35. Governing law and disputes
These Business Terms are governed by the laws of the Republic of the Philippines, without limiting mandatory rights or remedies that cannot legally be waived.
Before commencing formal proceedings, the parties should make reasonable good-faith efforts to resolve a dispute through direct communication. Any jurisdiction or venue provision applied by ConfirmPH must remain subject to applicable mandatory law.
36. General provisions
Entire agreement. These Business Terms, together with the policies and additional terms expressly incorporated into them, constitute the agreement governing the Business's use of the Services on the matters they cover.
Severability. If part of these Business Terms is held invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.
No waiver. A failure to enforce a provision immediately does not waive the right to enforce it later.
Assignment. The Business may not assign or transfer these Business Terms or its Business account without ConfirmPH's prior written consent, except where applicable law provides otherwise. ConfirmPH may assign these Business Terms in connection with a corporate reorganization, merger, acquisition, sale of assets, or transfer of the Services, subject to applicable law.
No partnership or agency. These Business Terms do not create a partnership, franchise, joint venture, employment relationship, or agency relationship between ConfirmPH and the Business.
Notices. ConfirmPH may provide account or contractual notices through the Business account, registered email, the ConfirmPH website, or another reasonable electronic method. The Business is responsible for keeping contact information current.
Survival. Provisions that by their nature should continue after termination, including provisions concerning intellectual property, confidentiality, payment obligations, data retention, liability, indemnity, and dispute matters: remain effective to the extent applicable.

Your Business remains responsible for its vehicles, Customers, staff, prices, deposits, payments, insurance, permits, rental agreements, vehicle safety, and legal compliance.
A Booking Record means rental information was recorded in ConfirmPH. A Customer Confirmation means the Customer affirmatively confirmed the information presented to them through ConfirmPH. Neither status means ConfirmPH guarantees that the rental will occur or that every business-entered detail is correct.
Your Business owns the Business Content it lawfully owns. ConfirmPH receives only the rights reasonably necessary to operate the platform.
Plan features and limits are determined by the current applicable pricing and account information rather than being permanently hard-coded into these Business Terms.
ConfirmPH does not guarantee bookings, revenue, ranking, positive reviews, uninterrupted service, or a particular business result.
If there is any conflict between the English version and a translated version of this Policy, the English version controls, subject to any rights that cannot legally be waived or limited.
